Terms of Service

These Terms of Service govern your organization's subscription to and use of the ThinkEthics.ai compliance training and research platform.

By subscribing, the administrator confirms they are authorized to bind the organization to these terms, including the subscription term, employee license count, billing, auto-renewal, and proration provisions presented at checkout.

FAIR USE — LOUIS AI

Louis is provided for the ordinary compliance training and research needs of your organization's licensed employees. Access to Louis is not metered or query-limited, but is subject to fair use. The following are not permitted:

(a) sharing a single employee's login credentials among multiple individuals;

(b) automated, scripted, or programmatic querying of Louis;

(c) reselling, republishing, or repackaging Louis's output as a standalone product or service;

(d) bulk extraction of Louis's answers or underlying citations for use outside the platform.

The number of employees with access to Louis must reflect the number of employees actually licensed under your subscription.

If we reasonably determine that an organization's usage is materially and consistently excessive relative to its licensed employee count, or inconsistent with ordinary use as described above, we will notify the organization's administrator and work in good faith to resolve it, which may include a request to move to a custom or enterprise pricing plan based on actual usage. We will limit or suspend access only if such usage continues after written notice and a reasonable opportunity to resolve it.

AI-ASSISTED RESEARCH AND TRAINING CONTENT

Louis and other AI-assisted features of the Service are designed to support compliance research, training, and education. Louis is built using large language model technology provided by third-party AI providers, including Anthropic and OpenAI, accessed via their respective APIs; we may add, remove, or change the underlying AI provider(s) or models used to power the Service at any time without changing this disclaimer. Louis is not a substitute for legal advice, and using Louis does not create an attorney-client relationship between you, your organization, and us or any underlying AI provider. AI-generated responses may be incomplete or contain errors and should be independently verified before being relied upon for decisions with legal, regulatory, or financial consequences. Similarly, completion of training modules within the Service supports your organization's compliance program but does not, by itself, guarantee compliance with any law, regulation, or contractual obligation.

ACCEPTABLE USE

Your use of the Service is also governed by the Acceptable Use Policy, which forms part of these Terms.

PUBLIC-SECTOR CUSTOMERS

Public entities and government customers with procurement requirements that differ from these Terms — including restrictions on automatic renewal, governing law and venue, indemnification, liability caps, purchase-order payment terms, or tax-exempt status — should contact us to request the applicable addendum before subscribing.
